Terms of Service

HumanBacked Inc.

Effective Date: April 19, 2026

Last Updated: April 19, 2026

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and HumanBacked Inc. (“HumanBacked,” “we,” “our,” or “us”) governing your access to and use of the Platform available at humanbacked.com and any related applications or services (collectively, the “Platform”).

By creating an account or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to create an account or use the Platform. This requirement applies globally. By using the Platform, you represent and warrant that you are at least 18 years old. If we discover that you are under 18, we will immediately terminate your account and may remove any associated data.

The 18+ requirement is firm and non-negotiable. It reflects our obligations under applicable law with respect to identity verification, biometric data collection, and peer-to-peer financial transactions facilitated through our payment processor, Stripe.

2.2 Capacity and Authority

You represent that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are using the Platform on behalf of a business or organization (including for Enterprise Certification), you represent that you have the authority to bind that organization to these Terms.

2.3 Compliance with Applicable Law

You are solely responsible for ensuring your use of the Platform complies with all laws applicable in your jurisdiction. The Platform is available globally with no geographic restrictions, but we make no representation that its content or features are appropriate or lawful in every jurisdiction. If access to or use of the Platform is prohibited by the laws of your jurisdiction, you must not use the Platform.

3. Account Registration and Security

3.1 Google Sign-In

Account creation on the Platform currently requires sign-in through Google (Google Sign-In). By using Google Sign-In, you are also subject to Google's Terms of Service and Privacy Policy. We are not responsible for Google's handling of your information.

3.2 Account Security

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information when creating your account and to update your information promptly if it changes. Accounts created with false information may be suspended or terminated.

4. Identity Verification

4.1 The Verification Process

HumanBacked's core service is establishing and certifying your identity as a real human person (your “Backed” status). To complete verification, you may be required to provide:

  • A government-issued identity document (such as a driver's licence or passport); and
  • A selfie or live facial image for liveness detection and document matching.

Identity verification is conducted by our third-party provider, Persona Identities Inc. (“Persona”). By submitting to verification, you agree to Persona's applicable terms and consent to Persona's collection and processing of your identity documents and biometric data on our behalf, as described in our Privacy Policy.

4.2 Accuracy of Verification Information

You represent that all information and documents you submit during verification are genuine, accurate, and belong to you. Submitting false, fraudulent, or another person's identity documents is a material breach of these Terms and may expose you to civil and criminal liability.

4.3 Verification Outcomes

HumanBacked and Persona reserve the right to decline verification at our discretion. A failed or declined verification does not entitle you to a refund of any fees paid. We are not responsible for errors made by Persona's automated verification systems, though you may contact us to inquire about manual review.

4.4 Biometric Data Consent

By proceeding with identity verification, you provide your explicit informed consent to the collection, processing, and storage of your biometric data (including facial imagery and biometric identifiers derived therefrom) for the purposes of identity verification. You may withdraw this consent at any time by contacting us at [email protected], provided that withdrawal of consent will result in the removal of your “Backed” status and may limit your access to certain Platform features.

5. Backing — Peer-to-Peer Financial Support

5.1 What Creator Support Is

HumanBacked enables users to send and receive peer-to-peer financial support (“Creator Support”), accessible through features branded as “Support Me” on the Platform. Creator Support is a voluntary, non-contractual expression of human support from one user to another. Sending Creator Support does not entitle the sender to any goods, services, content, or other consideration in return. It is not a purchase, donation, tip, gift card, or investment — it is a direct expression of support between two verified human beings, facilitated by the Platform. Recipients of Creator Support are under no obligation to provide anything in exchange.

5.2 Access to Creator Support Features

Access to Creator Support features requires an active paid subscription (currently $9.99 CAD per month or such other amount as displayed at the time of purchase). Subscription fees are non-refundable except as required by applicable law or as stated in Section 5.7 below.

5.3 Payment Processing

All Creator Support transactions and subscription payments are processed by Stripe, Inc. Your use of Backing features is subject to Stripe's Terms of Service and Stripe's Connected Account Agreement (as applicable), in addition to these Terms. By using Backing features, you authorize us and Stripe to charge your designated payment method for applicable fees.

5.4 HumanBacked's Role

HumanBacked provides the Platform and technology that connects senders and recipients of Creator Support. HumanBacked is not a party to any Creator Support transaction between users, is not a bank, money services business, or payment institution, and does not hold funds on behalf of users. All payment processing, fund holding, and disbursement are performed by Stripe.

5.5 Fees

We may charge platform fees on Backing transactions in addition to any fees charged by Stripe. Applicable fees will be clearly disclosed at the point of transaction. We reserve the right to change our fee structure with reasonable advance notice.

5.6 Your Responsibilities

You are responsible for:

  • Ensuring your payment method is valid and has sufficient funds;
  • Any taxes applicable to Creator Support you send or receive in your jurisdiction;
  • Compliance with any applicable currency controls or financial reporting obligations.

5.7 Refunds and Disputes

Creator Support transactions are generally non-refundable once processed. If you believe a Creator Support transaction was made in error or without your authorization, contact us at [email protected] within 48 hours of the transaction. We will investigate and work with Stripe to resolve legitimate disputes. Subscription fees are non-refundable after the billing period begins, except where required by law (such as mandatory statutory cooling-off rights in certain jurisdictions).

5.8 Stripe's Requirements

Stripe's ability to provide payment processing services is subject to the Stripe Terms of Service. By using Creator Support features, you agree to be bound by Stripe's Terms of Service (as may be updated by Stripe from time to time). As a condition of enabling payment features, Stripe may require you to provide additional information for KYC/AML verification purposes. We are not responsible for Stripe's decisions to limit, suspend, or decline payment services to any user.

6. Special Programs

HumanBacked may offer special programs from time to time, including community initiatives, grant programs, or other campaigns. Each such program will be governed by its own specific terms and conditions published on the Platform at the time of launch. Nothing in these Terms creates an obligation for HumanBacked to offer, continue, or fund any such program.

7. Enterprise Certification

7.1 Program Description

HumanBacked offers an Enterprise Certification program (“Enterprise Certification”) that allows organizations to certify that their sales or support teams are composed of verified human agents. Certification is subject to successful completion of our audit and verification process.

7.2 Application and Audit

Applications for Enterprise Certification are subject to evaluation by HumanBacked. By applying, you authorize HumanBacked to conduct verification audits of the team members specified in your application. Details of the audit process, pricing, and requirements will be communicated during the application process.

7.3 Certification Badge and ID

Upon successful certification, HumanBacked grants the certified organization a limited, non-exclusive, non-transferable licence to display the HumanBacked Enterprise Certification badge and reference their HumanBacked ID (e.g., in the format HB-XXXX-XXXX-YYYY) solely in connection with the certified team and for the duration of the certification period.

7.4 Certification is Conditional

Certification may be revoked at any time if we determine, in our sole discretion, that the certified organization is no longer in compliance with our certification standards, has violated these Terms, or has engaged in conduct inconsistent with the spirit of the HumanBacked mission. Upon revocation, the organization must immediately cease use of all HumanBacked certification marks and credentials.

7.5 Ongoing Obligations

Certified organizations are subject to periodic behavioral audits (currently quarterly) as a condition of maintaining certification. Failure to participate in required audits is grounds for revocation.

7.6 Enterprise-Specific Terms

Additional terms governing Enterprise Certification, including pricing, data handling, and SLAs, will be set out in a separate Enterprise Agreement or Order Form signed between HumanBacked and the certified organization. In the event of conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement governs with respect to enterprise-specific matters.

8. Ambassador Program

8.1 Program Description

HumanBacked may invite or accept applications from community members to participate as HumanBacked Ambassadors. Ambassadors are independent community advocates, not employees, contractors, or agents of HumanBacked.

8.2 Ambassador Responsibilities and Restrictions

Ambassadors agree to represent HumanBacked in good faith and in a manner consistent with our brand guidelines and values. Ambassadors must disclose their Ambassador relationship when promoting HumanBacked, in compliance with applicable advertising and endorsement disclosure laws (including FTC guidelines in the United States, ASA standards in the UK, and equivalent laws in other jurisdictions).

8.3 No Employment or Agency Relationship

Nothing in these Terms or any Ambassador arrangement creates an employment, agency, partnership, joint venture, or franchise relationship between HumanBacked and any Ambassador.

8.4 Termination of Ambassador Status

HumanBacked may terminate Ambassador status at any time for any reason, with or without notice.

9. User Conduct

9.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform for any illegal or unauthorized purpose;
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity;
  • Submit false, fraudulent, or misleading identity information or documents;
  • Use the Platform to harass, threaten, defame, or harm any other user;
  • Interfere with or disrupt the integrity or performance of the Platform or servers or networks connected to it;
  • Attempt to gain unauthorized access to any part of the Platform or any account, system, or network connected to the Platform;
  • Use automated scripts, bots, scrapers, or crawlers to access, collect, or interact with the Platform without our express written consent;
  • Use the Platform to facilitate money laundering, fraud, or any other financial crime;
  • Use Backing to make payments in exchange for goods or services in a manner that circumvents applicable payment regulations;
  • Reverse engineer, decompile, or disassemble any portion of the Platform;
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without our express written permission.

9.2 User Content

To the extent you submit, post, or display content on the Platform (including profile information, bios, or any materials submitted in connection with applications), you grant HumanBacked a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, modify, and distribute such content solely for the purpose of operating and improving the Platform.

You represent that you have all rights necessary to grant this licence and that your content does not infringe any third-party rights or violate any applicable law.

10. Intellectual Property

10.1 HumanBacked IP

The Platform, including its content, design, trademarks, service marks, logos (including the HumanBacked fingerprint logo and brand identity), software, and other materials, is owned by or licensed to HumanBacked and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Platform or HumanBacked's intellectual property except the limited licence to use the Platform in accordance with these Terms.

10.2 Feedback

If you provide feedback, ideas, or suggestions regarding the Platform (“Feedback”), you grant HumanBacked a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and implement that Feedback without restriction or compensation to you.

11. Third-Party Services

The Platform integrates with and links to third-party services, including Google (authentication), Persona (identity verification), and Stripe (payment processing). Your use of these third-party services is governed by their respective terms and privacy policies. HumanBacked is not responsible for the availability, accuracy, or legality of third-party services or content.

12. Disclaimers

12.1 Platform Provided “As Is”

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.2 No Endorsement

HumanBacked's verification of a user's identity does not constitute an endorsement of that user, their character, or their suitability for any purpose. A “Backed” status indicates only that the user has passed our identity verification process at a point in time.

12.3 Financial Transactions

HumanBacked makes no representations or warranties regarding the reliability, timeliness, or success of any Backing transaction. We are not responsible for failed, delayed, or unauthorized transactions caused by Stripe, your financial institution, or other third parties.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMANBACKED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM;
  • ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
  • ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH THE PLATFORM;
  • ANY ERRORS OR INACCURACIES IN ANY CONTENT ON THE PLATFORM.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO HUMANBACKED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 CAD.

14. Indemnification

You agree to defend, indemnify, and hold harmless HumanBacked, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; (d) any content you submit to the Platform; or (e) any Backing transactions you initiate or receive.

15. Termination

15.1 Termination by You

You may close your account at any time by contacting us at [email protected]. Closing your account does not entitle you to a refund of any subscription fees for the current billing period.

15.2 Termination by HumanBacked

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, posed a risk to the Platform or other users, or for any other legitimate reason. We will provide notice where reasonably practicable.

15.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 10, 12, 13, 14, 16, 17, and 18) will survive.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating any formal dispute process, you agree to contact us at [email protected] and provide a written description of your dispute. We will attempt to resolve the dispute informally within 30 days.

16.3 Arbitration

If we are unable to resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (other than claims for emergency injunctive relief) will be resolved by binding arbitration administered by the ADR Institute of Canada, Inc. in accordance with its Arbitration Rules. The arbitration will be conducted in English in Toronto, Ontario, Canada. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.4 No Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. You may only bring individual claims against HumanBacked. If this waiver is found to be unenforceable with respect to a particular claim, that claim must be severed from arbitration and may be pursued in court, but all other claims remain subject to arbitration.

16.5 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Ontario to prevent irreparable harm, including in connection with intellectual property infringement or unauthorized access to the Platform.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the “Last Updated” date. For material changes that significantly affect your rights, we will provide at least 30 days' advance notice via email or prominent in-app notice. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.

18. General

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any Enterprise Agreement or other agreement you have separately executed with HumanBacked, constitute the entire agreement between you and HumanBacked with respect to the Platform and supersede all prior agreements, representations, or understandings.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. HumanBacked may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

18.5 Notices

We may provide notices to you via email to the address associated with your Google account, or by posting notices on the Platform. You may send notices to us at [email protected].

18.6 Language

These Terms are written in English. To the extent any translation is provided for convenience, the English version governs in the event of any conflict.
